Welcome to MobsterGang. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and MobsterGang, Inc. ("MobsterGang," "we," "us," or "our") governing your access to and use of our website, platform, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into a binding contract.
• Not be prohibited from using our Services under applicable law.
• Provide accurate and complete registration information.

Certain features of our Services are available only to accredited investors as defined by the U.S. Securities and Exchange Commission (SEC). By accessing investor-specific features, you represent and warrant that you meet the applicable accreditation requirements and agree to provide verification documentation upon request.

3. Account Registration and Security

3.1 Account Creation

To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Use a strong, unique password.
• Not share your account credentials with others.
• Notify us immediately of any unauthorized access or security breach.
• Log out of your account at the end of each session on shared devices.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms, fraudulent activity, or inactivity, with or without notice.

4. Description of Services

MobsterGang provides a platform that connects founders seeking capital with investors. Our Services include:

• Investor Matching: AI-powered algorithms that match founders with relevant investors based on deal characteristics, investment criteria, and preferences.
• Deal Management: Tools to manage fundraising activities, track investor interactions, and organize deal documentation.
• Research Tools: Market intelligence, investor profiles, and due diligence resources.
• Communication Tools: Email templates, call scripts, and outreach assistance.

We do not provide investment advice, broker-dealer services, or securities offerings. We are a technology platform that facilitates connections between parties.

5. Subscription Plans and Fees

5.1 Pricing Tiers

We offer the following subscription options:

• Starter (Pay-Per-Use): One-time payments for specific features and match packages.
• Monthly Subscriptions: Recurring monthly billing with automatic renewal.
• Annual Subscriptions: Annual commitment with monthly or upfront billing options.
• Enterprise: Custom pricing for high-volume users with API access.

Current pricing is displayed on our website and is subject to change. We will provide notice of price changes before they take effect for existing subscribers.

5.2 Billing and Payment

• All fees are quoted and payable in U.S. dollars.
• Payment is due at the time of purchase or subscription activation.
• For recurring subscriptions, you authorize us to charge your payment method automatically on each billing date.
• If a payment fails, we may suspend your access until payment is received.
• You are responsible for all applicable taxes.

5.3 Subscription Renewal and Cancellation

• Monthly Subscriptions: Automatically renew each month until cancelled. You may cancel at any time, and your subscription will remain active until the end of the current billing period.
• Annual Subscriptions: Automatically renew each year. You may cancel at any time, but no refunds or credits will be provided for the remaining term.

6. No Refunds Policy

6.1 Data Irreversibility

Our Services provide access to proprietary data, investor information, matching algorithms, and market intelligence. Once this information is revealed, accessed, or delivered to you, it cannot be "unrevealed" or taken back. For this reason:

• All purchases are final. This includes one-time purchases, subscription fees, and any other charges.
• No refunds will be issued for any reason, including but not limited to: dissatisfaction with matches, change of business plans, failure to raise capital, account termination, or unused portions of subscriptions.
• Partial refunds are not available. If you cancel a subscription mid-term, you will not receive a refund or credit for the remaining period.

6.2 Service Credits

In our sole discretion, we may offer service credits in extremely limited circumstances, such as documented platform outages or technical errors that prevented access to paid features. Service credits:

• Are not cash refunds and cannot be converted to cash.
• May only be applied to future MobsterGang purchases.
• Expire 12 months from issuance.
• Are granted at our sole discretion and do not create any entitlement.

6.3 Billing Errors

If you believe there has been a billing error, you must contact us within 30 days of the charge at [email protected]. We will investigate and, if we determine an error occurred, issue a correction or credit. This does not constitute a refund right.

6.4 Acknowledgment

By making a purchase or subscribing to our Services, you expressly acknowledge and agree that:

• You understand and accept our no-refund policy.
• You waive any right to a refund, chargeback, or payment dispute for dissatisfaction with the Services.
• Initiating a chargeback or payment dispute in violation of these Terms may result in immediate account termination and collection action for amounts owed.

7. User Content and Conduct

7.1 User Content

You retain ownership of content you upload to our platform ("User Content"), including pitch decks, business plans, and other materials. By uploading User Content, you grant us a non-exclusive, worldwide, royalty-free license to:

• Store, process, and display your User Content to provide the Services.
• Analyze your User Content using AI and machine learning to generate matches and insights.
• Share your User Content with potential investors or other users according to your privacy settings.

7.2 Prohibited Conduct

You agree not to:

• Provide false, misleading, or fraudulent information.
• Impersonate any person or entity.
• Use the Services for any illegal purpose or in violation of securities laws.
• Scrape, harvest, or collect data from our platform without authorization.
• Interfere with or disrupt the Services or servers.
• Attempt to gain unauthorized access to any portion of the Services.
• Use the Services to spam, harass, or abuse other users.
• Reverse engineer, decompile, or disassemble any part of the Services.
• Share investor contact information obtained through our platform outside the platform without authorization.
• Use automated systems or bots to access the Services.

7.3 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we find objectionable, without prior notice.

8. Intellectual Property

8.1 Our Intellectual Property

The Services, including all content, features, functionality, software, algorithms, designs, trademarks, and trade secrets, are owned by MobsterGang and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our written permission.

8.2 Feedback

If you provide us with feedback, suggestions, or ideas regarding our Services, you grant us the right to use such feedback without restriction or compensation to you.

9. Third-Party Services

Our Services may integrate with or contain links to third-party services, including payment processors, AI providers, and analytics tools. Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the content, accuracy, or practices of third-party services.

10. Disclaimers

10.1 No Investment Advice

MobsterGang does not provide investment advice, broker-dealer services, or securities offerings. Our matching and research tools are for informational purposes only. Any investment decisions you make are your sole responsibility. You should consult with qualified financial, legal, and tax advisors before making investment decisions.

10.2 No Guarantee of Results

We do not guarantee that you will raise capital, find investors, or achieve any particular outcome by using our Services. Success depends on many factors outside our control, including market conditions, your business, and investor preferences.

10.3 Data Accuracy

While we strive to maintain accurate and up-to-date information, we do not warrant the accuracy, completeness, or reliability of any data, investor profiles, or matches provided through our Services. You are responsible for verifying information before relying on it.

10.4 "As Is" Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MOBSTERGANG, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Services;
• Any conduct or content of any third party on the Services;
• Any content obtained from the Services;
• Unauthorized access, use, or alteration of your transmissions or content;
• Any investment decisions made based on information from the Services;
• Failure to raise capital or connect with investors.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

12. Indemnification

You agree to defend, indemnify, and hold harmless MobsterGang and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use of the Services;
• Your violation of these Terms;
• Your violation of any third-party rights, including intellectual property rights;
• Any content you submit through the Services;
• Your violation of applicable laws or regulations.

13. Governing Law

These Terms and any dispute arising from or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

14. Dispute Resolution - Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days. If the dispute is not resolved within 30 days, either party may proceed to arbitration as described below.

15. Binding Arbitration and Class Action Waiver

15.1 Agreement to Arbitrate

You and MobsterGang agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (collectively, "Disputes") will be resolved by binding individual arbitration rather than in court, except that either party may seek equitable relief in court for infringement or misuse of intellectual property rights.

15.2 Arbitration Rules

Arbitration will be conducted by JAMS under its Streamlined Arbitration Rules and Procedures, as modified by these Terms. The arbitration will be conducted in New York, New York, or remotely by video conference if mutually agreed. The arbitrator's decision will be final and binding.

15.3 Class Action Waiver

YOU AND MOBSTERGANG AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

15.4 Small Claims Court

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdiction.

15.5 Opt-Out

You may opt out of this arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms. If you opt out, you may pursue claims in court, but the class action waiver will still apply.

15.6 Arbitration Fees

Each party will pay its own arbitration fees as set forth by JAMS. If you demonstrate that arbitration costs would be prohibitive compared to litigation costs, MobsterGang will pay as much of your filing and hearing fees as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on our website and updating the "Last Updated" date. For significant changes, we may also send you an email notification. Your continued use of the Services after any changes constitutes acceptance of the modified Terms.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MobsterGang regarding the Services and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

17.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

17.5 Notices

We may provide notices to you via email, posting on the Services, or other reasonable means. Notices to us should be sent to [email protected].
